The Office of the Registrar of Companies (ORC) has announced the implementation of a revised penalty structure for companies that failed to file their annual returns by the statutory deadline of June 30, 2025.
In a press release dated July 24, the ORC stated that the new penalties follow an earlier announcement made on May 29, which made clear that no extensions would be granted beyond the June deadline.
Under the updated structure, companies that have defaulted in filing for one to four years will pay a penalty of GHS 1,000, while those that have defaulted for five years or more will be fined GHS 2,000.
The ORC noted that this enforcement action is part of its efforts to ensure the Companies Register reflects only active and compliant businesses.
The ORC further urged all defaulting incorporated entities to promptly file their returns, thereby avoiding additional sanctions and the risk of delisting from the official register.
“The ORC remains committed to ensuring that the Companies Register reflects only active and compliant businesses,” said the Acting Registrar of Companies, Mrs. Maame Samma Peprah, who signed the release.
“Incorporated entities in default are encouraged to take the necessary steps to ensure continuity and avoid the risk of being delisted,” she added.
