The Office of the Registrar of Companies (ORC) has issued a final warning to business entities across Ghana, confirming that the deadline for filing annual returns and renewing business names will not be extended beyond June 30, 2025.
In a press release dated May 29 and signed by Acting Registrar of Companies, Maame Samma Peprah, the regulatory body cautioned all registered businesses, company directors, secretaries, and partners of incorporated partnerships to comply with the statutory requirements before the deadline.
The announcement reiterates an earlier notice published on April 14, urging defaulting companies and businesses to take immediate action. The ORC made clear that any company that fails to file its annual returns—complete with financial statements—will be considered non-compliant and will be subject to a penalty of 1,000 Ghana cedis, in addition to standard filing fees.
“There will be no extension beyond Friday, 30th June 2025,” the statement read. The ORC further warned that failure to comply with the requirements could lead to companies being removed from the official register, effectively nullifying their legal status.
The agency urged all stakeholders to adhere to the deadline to avoid penalties and potential delisting.
